1. Nature of Business
Angelicez operates as a B2B textile product sourcing and third-party quality audit company. We are not a manufacturer — we act as a sourcing intermediary, connecting buyers with vetted production units across India’s textile hubs, and coordinating order placement, quality control, and export logistics on the buyer’s behalf.
2. Eligibility
This website and our services are intended for business use only — wholesalers, retailers, corporates, institutions, and government entities, both in India and internationally (including domestic corporate and institutional supply, and procurement via the GeM portal). We do not sell to individual consumers.
3. Inquiries & Order Process
All inquiries submitted via our Contact form, email, or WhatsApp Business are non-binding until formally confirmed by both parties in writing.
Orders are confirmed only after mutual agreement on product specifications, pricing, minimum order quantity (MOQ), payment terms, and delivery timelines.
Custom/corporate orders (branding, print, embroidery, packaging) require written approval of samples/mockups before bulk production begins.
4. Pricing & Payment
All prices quoted are subject to change based on order quantity, specifications, and prevailing raw material costs, unless confirmed in a formal quotation or invoice.
No order will be processed or production initiated without receipt of an advance payment, typically 30% to 50% of the total order value, depending on order size, specifications, and terms agreed at the time of order confirmation. The exact advance percentage will be specified in the invoice or purchase agreement.
The remaining balance shall be payable as per the terms agreed at the time of order confirmation (e.g., before dispatch or against shipping documents).
All payments are to be made in the currency and mode specified in the invoice.
5. Quality & Inspection
Angelicez conducts third-party quality audits to verify compliance with agreed specifications before shipment.
Buyers are encouraged to request pre-shipment inspection reports for bulk orders.
Any quality disputes must be raised in writing within [X days] of delivery, accompanied by supporting evidence (photos, inspection reports).
6. Shipping & Delivery
Delivery timelines are estimates and may vary due to production schedules, customs clearance, or logistics disruptions beyond our control.
Export shipments are subject to the shipping terms (e.g., FOB, CIF, EXW) agreed upon at the time of order confirmation.
Buyers are responsible for import duties, customs clearance, and compliance in their destination country, unless otherwise agreed.
7. Intellectual Property
All content on this website — including text, images, logos, and product designs — is the property of Angelicez and may not be copied, reproduced, or used without prior written consent.
8. Limitation of Liability
Angelicez shall not be held liable for indirect, incidental, or consequential damages arising from delays, production issues at third-party factories, or force majeure events (natural disasters, strikes, government restrictions, etc.).
9. Cancellations & Refunds
Advance payments (30%–50%) are non-refundable once production has commenced, except in cases where Angelicez fails to deliver as per the agreed specifications.
Cancellation requests made before production begins will be evaluated on a case-by-case basis and may be subject to deductions for costs already incurred.
10. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India. Any disputes arising from these Terms or business dealings with Angelicez shall be subject to the exclusive jurisdiction of the courts in Delhi, India.
11. Amendments
Angelicez reserves the right to update these Terms and Conditions at any time. Continued use of our website or services after changes constitutes acceptance of the revised Terms.
